Overview

This Terms and Conditions Agreement (“Agreement”) is a legally binding contract between you (referred to as “User,” “you,” or “your”) and Practice Vector, operated by JYLC Ventures LLC (referred to as “Company,” “we,” “us,” or “our”), regarding your use of our CRM and marketing automation services (the “Services”).

By using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree with any provision of this Agreement, you may not use the Services.

1. Services

1.1 Description
Practice Vector provides CRM, automation, and marketing solutions designed to help businesses manage leads, automate client communication, and execute digital marketing campaigns.

Our Services include, but are not limited to:

• CRM and workflow setup
• AI-powered client intake and response automation
• Website and funnel creation
• Email and SMS campaigns
• Data analytics and reporting

1.2 Access and Use
You agree to use the Services only for lawful business purposes and in accordance with this Agreement.
You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
You agree to notify us immediately of any unauthorized use or access to your account.

1.3 Fees
You agree to pay the applicable fees as described in your service agreement or on our website.
All payments are due monthly (or as otherwise specified) and are non-refundable.
Practice Vector reserves the right to modify fees with prior notice.

2. Intellectual Property

2.1 Ownership
Practice Vector and its licensors retain all rights, title, and interest in and to the Services, including all software, designs, templates, automation frameworks, trademarks, and other intellectual property.
This Agreement does not grant you ownership or license to our intellectual property beyond what is necessary to use the Services as intended.

2.2 User Content
By using the Services, you may upload or provide data, content, or materials (collectively, “User Content”).
You retain ownership of your User Content, but you grant Practice Vector a worldwide, non-exclusive, royalty-free license to use, process, host, and display such content solely to operate and improve the Services.

You represent and warrant that you have the legal right to upload and share all User Content provided.

3. Privacy and Data Protection

3.1 Data Collection
We collect and process personal and business information in accordance with our Privacy Policy, available at practicevector.com/privacy-policy.
By using the Services, you consent to our collection and use of data as described in the Privacy Policy.

3.2 Data Security
We implement reasonable security measures to protect your data.
However, you acknowledge that no online system or transmission method is 100% secure, and we cannot guarantee absolute protection of your data.

4. Limitations of Liability

4.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRACTICE VECTOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

4.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRACTICE VECTOR AND JYLC VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SERVICES.

Our total liability shall not exceed the total fees paid by you in the three (3) months preceding the claim.

5. Termination

5.1 Termination by User
You may terminate this Agreement at any time by ceasing to use the Services and requesting account closure.
All outstanding fees will remain due upon termination.

5.2 Termination by Company
We may suspend or terminate your access to the Services if you violate this Agreement, misuse the platform, or engage in activities that may harm our systems, other users, or our business reputation.

6. General Provisions

6.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
Any dispute arising under this Agreement shall be resolved exclusively in the courts located in New York County, New York.

6.2 Entire Agreement
This Agreement constitutes the entire understanding between you and Practice Vector regarding the Services and supersedes any prior agreements or communications, whether oral or written.

6.3 Modifications
We may update or modify this Agreement from time to time by posting a revised version on our website or notifying you by email.
Your continued use of the Services following any update constitutes your acceptance of the revised Terms and Conditions.
